Welcome to the Mobile Coupon Merchant website—an online platform created specifically for businesses and participating merchants. By using the website, including its mobile and touch versions, as well as any related electronic services made available to merchants (collectively referred to as the “Site”), you agree to these Terms of Use (“Terms”). These Terms serve as the guidelines for accessing and using the Site, and they apply to all business and merchant users. They include important legal information that should be reviewed carefully. Throughout these Terms, Mobile Coupon and its affiliates or subsidiaries (“Mobile Coupon,” “we,” “us,” or “our”) and merchants (“you” or “End User”) may be referred to individually as a “Party” and together as the “Parties.”

 

APPLICABILITY

These Terms of Use do not apply to any website, mobile or touch version, or electronic service used by individuals solely for personal, household, or family purposes. This includes individuals who purchase Mobile Coupon vouchers for personal use through mobilecoupon.com. Such use is governed by the Mobile Coupon consumer Terms and Privacy Statement.

IMPORTANT: THESE TERMS OF USE ARE MEANT TO SUPPLEMENT ANY EXISTING AGREEMENT(S) YOU HAVE WITH MOBILE COUPON. IF THERE IS A CONFLICT BETWEEN THESE TERMS AND ANY SUCH AGREEMENT(S), THE TERMS OF THE OTHER AGREEMENT(S) WILL TAKE PRECEDENCE.

 

ACCEPTANCE OF TERMS OF USE
Mobile Coupon manages and provides the Site. By accessing the Site, using any services available through it, or installing mobile or touch versions that provide access to its content or services, you agree to comply with these Terms of Use, along with any additional terms that may apply to specific programs you choose to participate in, as updated from time to time. IF YOU DO NOT AGREE TO THESE TERMS OF USE, YOU MUST STOP USING THE SITE AND REFRAIN FROM ACCESSING ANY MOBILE COUPON SERVICES AVAILABLE THROUGH IT.

 

PERMITTED USES
The Site is intended to inform prospective and existing merchant partners about how Mobile Coupon’s promotional and marketing tools can support businesses in effectively promoting their products and services to both new and returning customers through the Mobile Coupon platform. AVAILABILITY OF THE SITE

You understand and accept that access to the Site may occasionally be interrupted due to factors beyond our control. Although we make reasonable efforts to ensure the Site remains available, it may become temporarily inaccessible for various reasons, including routine maintenance. You acknowledge that interruptions, suspensions, or terminations of access may occur as a result of both internal and external circumstances. Mobile Coupon reserves the right, at its sole discretion, to restrict or revoke access to the Site or its services for any user or account at any time and for any reason.

 

OWNERSHIP OF THE SITE

All content and information available on the Site (the “Content”), along with the systems and infrastructure used to deliver it, are the proprietary property of Mobile Coupon and its partners. You agree not to alter, duplicate, share, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or resell any information, software, products, or services obtained through or from the Site.

 

TRANSMISSION OF INFORMATION
 Since we do not control the security of the internet or the networks you use to access the Site or communicate with us, we are not responsible for the security of any information you transmit to Mobile Coupon or the Site during its transfer. Additionally, Mobile Coupon is not liable for any loss of data that may occur during transmission.

 

YOUR CONDUCT ON OUR SITES
The Site and all other websites operated by Mobile Coupon for End Users are considered private property (collectively referred to as the “Mobile Coupon Sites”). All interactions on these Sites must be lawful and comply with these Terms of Use. If your behavior (as determined solely by us) interferes with or limits another user's ability to use or enjoy any part of the Mobile Coupon Sites, we may restrict your access and take appropriate action.

All content found on the Mobile Coupon Sites is either the exclusive property of Mobile Coupon or used with proper authorization. ANY COPYING, DISTRIBUTION, TRANSMISSION, POSTING, LINKING, DEEP LINKING, OR OTHER MODIFICATIONS TO ANY PART OF THE SITE WITHOUT MOBILE COUPON’S PRIOR WRITTEN APPROVAL IS STRICTLY PROHIBITED. Violating this policy may lead to civil and/or criminal liability for infringing copyright, trademark, or other intellectual property rights.

The Mobile Coupon Sites feature copyrighted materials, trademarks, and proprietary content including, but not limited to, text, images, software, graphics, video, music, and sound. The entire content is protected as a collective work under U.S. copyright law. “Mobile Coupon” is a trademark owned by Mobile Coupon, Inc. Any trademarks displayed on the Site are considered the exclusive property of Mobile Coupon unless licensed from another trademark holder, in which case such use benefits Mobile Coupon unless otherwise noted. These marks are not public domain.

You may not upload, share, or make available on the Site any content that is protected by copyright, trademark, or other proprietary rights without explicit permission from the rights holder. Mobile Coupon is not obligated to identify protected material on your behalf, and you are solely responsible for any legal issues that arise from unauthorized use of such material. By submitting content to any public area of the Site, you confirm that you have secured the necessary rights and grant Mobile Coupon a royalty-free, non-exclusive, perpetual, and irrevocable license to use, reproduce, adapt, publish, translate, distribute, and incorporate the material into other formats, in any form or media now known or developed in the future, worldwide. You also allow other users to view, save, or reproduce your content for their own personal use, and you authorize Mobile Coupon to edit, copy, and distribute your submitted content.

Mobile Coupon reserves the right—but is not obligated—to monitor content shared within these Communities at any time and for any reason. This includes ensuring compliance with these Terms of Use, enforcing any Site rules, or responding to legal requirements, regulations, or government requests. Additionally, Mobile Coupon may, at its sole discretion, remove any content it deems to be in violation of these Terms or otherwise inappropriate. Any opinions, comments, advice, ratings, or other content (“Statements”) submitted by you or other users in the Communities reflect the views of the individuals who posted them, not Mobile Coupon.

You may also be invited to request more information about Mobile Coupon’s services, sign up for newsletters, or submit inquiries by entering your business contact details on the Site. By doing so, you agree that we may use your contact details to fulfill your request. You also consent to Mobile Coupon—and third parties acting on our behalf—contacting you by phone, mail, or email with marketing content about our services, promotions, or those of our partners that we believe may interest you. You acknowledge and agree that any messages, comments, or content you post in the Site’s discussion areas (“Statements”) are public and not private. Anyone, including those who do not use Mobile Coupon’s services, may view your Statements. You should not include personal information (as defined in our Privacy Statement) in your posts. Mobile Coupon does not monitor or endorse any Statements shared in public forums and disclaims all liability related to user-generated content, including any offensive or inappropriate material. All content you post is considered non-confidential.

 

CONTENT LICENSE
When you post Statements or other content in the Site’s community areas, you grant Mobile Coupon a free, non-exclusive, irrevocable, perpetual license to use, reproduce, modify, publish, edit, translate, display, perform, and distribute that content—on its own or as part of other works—using any media or technology, whether existing now or developed in the future. This license also includes the right for Mobile Coupon to sublicense the content at multiple levels. The license applies without geographic or time restrictions and extends to any lawful use, including marketing, advertising, and research.

 

INDEMNITY AND RELEASE
You agree to defend and indemnify Mobile Coupon, its affiliates, and their officers, directors, employees, and agents against all claims, liabilities, and expenses (including legal fees) arising from: (a) your products or services offered through Mobile Coupon; (b) any Statements you post; or (c) your violation of these Terms of Use. You are fully responsible for your interactions with customers and other users of the Site. To the extent allowed by law, you also release Mobile Coupon from any liability related to your products or services, your conduct, your compliance with applicable laws, or the behavior of other merchants or users—whether online or offline.

 

GOVERNING LAW AND JURISDICTION
Any disputes related to these Terms of Use or your use of the Mobile Coupon Sites or services will be governed by the laws of the Province of British Columbia and the federal laws of Canada, without reference to any rules regarding conflicts of laws or choice of law principles. Both you and Mobile Coupon agree to submit irrevocably to the exclusive jurisdiction and venue of the courts located in the Province of British Columbia and governed by the applicable federal laws of Canada for any legal proceedings arising under these Terms of Use.

 

ADDITIONAL DISCLOSURES
If either you or Mobile Coupon chooses not to enforce any part of these Terms of Use or fails to act on a breach or default, it does not mean that either party waives the right to enforce the same or similar provisions in the future. Section titles within these Terms are provided solely for convenience and carry no legal weight. If any provision within these Terms is found to be invalid by a court with proper authority, the remaining sections will still be fully enforceable and remain in effect.

Your agreement is with Mobile Coupon. Any correspondence should be directed to: Mobile Coupon.

These Terms of Use apply equally to Mobile Coupon, its affiliates, subsidiaries, and any third-party content providers or licensors, all of whom have the right to enforce the terms independently.

Mobile Coupon is not responsible for delays or failure to meet obligations under these Terms of Use due to events beyond its reasonable control, such as natural disasters, acts of terrorism, earthquakes, fires, floods, riots, or other similar force majeure circumstances.

MOBILE COUPON VENDOR CODE OF CONDUCT

Effective Date: 1 June 2024

This Vendor Code of Conduct (the “Code”) sets out guidelines and requirements for all merchants, vendors, and suppliers (collectively, “Vendors”) that do business with Mobile Coupon. business or subsidiary (collectively, “Mobile Coupon” or “we”).  

We expect our Vendors (including their employees, agents, subcontractors, and affiliates) to comply with the Code in conducting business with or on behalf of Mobile Coupon, even when the Code exceeds the requirements of applicable law.  Violations of the Code can result in severe consequences for Mobile Coupon and/or its Vendors.  Accordingly, Mobile Coupon will take appropriate action to ensure compliance with the Code, up to and including termination of business with the Vendor.

 

ANTI-BRIBERY & CORRUPTION

Books, Records, and Business Integrity. Mobile Coupon prohibits corruption, extortion, and embezzlement in any form. For this reason, Vendors must ensure that their accounting and financial records related to their business with Mobile Coupon comply with applicable laws and meet applicable standards of accuracy and completeness. Mobile Coupon also expects Vendors to provide honest and accurate invoices. Invoices should be itemized, quote the Purchase Order (“PO”) number (if applicable), be supported by appropriate documentation, and comply with all other requirements as set out in the relevant contract(s). Invoices may not be split to circumvent approval requirements. Mobile will not do business with a Vendor unless there is a signed contract with Mobile Coupon and an approved PO (if required) on file. 

 

Fraud Prevention and Transparent Dealings: Mobilecoupon.ca requires honest and fair business practices from its vendors. Vendors must not engage in fraud, deception, misrepresentation, or any other unethical practices in their dealings. All financial records, bills, and invoices related to transactions on Mobilecoupon.ca must be accurate and transparent, reflecting the actual goods or services provided. Falsifying records or concealing the true nature of payments is strictly prohibited. For example, vendors may not disguise improper payments or kickbacks as legitimate expenses or fees on invoices. Maintaining transparent books and records is not only a best practice but also a legal requirement – Canadian law even criminalizes the falsification of books and records to hide bribery​. Vendors should foster a culture of integrity and fair dealing, and are encouraged to have their own anti-corruption policies (such as whistleblower reporting mechanisms and employee training) to proactively prevent bribery, corruption, and fraud.
 

Business Courtesies.  Vendors must avoid offering gifts, meals, entertainment, or travel (collectively “Business Courtesies”) that might improperly influence, or appear to influence, Mobile Coupon employees or agents, or that might embarrass Mobile Coupon or the Vendor. Vendors should never feel obligated to provide Business Courtesies to any Mobile Coupon employee or agent, even if the Business Courtesies have only nominal value. If a Vendor wishes to provide Business Courtesies to a Mobile Coupon employee or agent, the Business Courtesies must comply with applicable laws and the following guidelines:

 

Gifts

 

Meals, Entertainment and Travel

Facilitating Payments. Vendors must not offer or make facilitating payments (also known as “expediting” or “grease” payments) to speed up or secure the performance of a routine government action (e.g., customs clearance) on behalf of Mobile Coupon. Mobile Coupon’s Anti-Corruption Policy prohibits facilitating payments and many countries treat them as illegal bribes.  This requirement applies to all business conducted on Mobile Coupon’s behalf, regardless of any contrary local customs.

 

ANTI-COUNTERFEITING & INTELLECTUAL PROPERTY PROTECTION

Anti-Counterfeiting. Mobile Coupon strives to ensure that all of its products are of the highest quality and reliability and expects Vendors to notify us immediately if they believe or have a reason to believe that they have provided Mobile Coupon or Mobile Coupon’s customers with counterfeit, illegally diverted, or stolen products, parts, or materials.  The sale of counterfeit products on Mobile Coupon’s platform is strictly prohibited.  It is each Vendor's responsibility to source and sell only authentic products. Vendors must also respond to requests for information regarding the source of any products, parts, or materials.

 

Intellectual Property Protection. Vendors must respect intellectual property rights, including Mobile Coupon’s intellectual property rights and the intellectual property rights of others, at all times.  Respecting the intellectual property rights of Mobile Coupon and others includes, but is not limited to, obtaining proper authorization and licensing agreements before using any intellectual property, refusing to misuse others’ intellectual property, including patents, trademarks, copyrights, and trade secrets, and complying with all applicable laws as they relate to Vendor products and listings.  Any transfer of technology and know-how should be carried out in a manner that complies with all applicable laws and protects intellectual property rights.

 

Pricing Integrity and No False Promotions: Vendors must uphold the highest integrity when it comes to pricing and discount claims. Any price or discount advertised on Mobilecoupon.ca must be genuine and not misleading. “Original” or “regular” prices should be the actual prevailing prices at which the product or service has been recently offered to the public, in line with Canadian regulations on ordinary selling price claims. Vendors may not artificially inflate a regular price just to make a discount appear larger. All discounts or “percent off” claims should be calculated truthfully based on real baseline prices. Likewise, bait-and-switch tactics are forbidden – a vendor must not advertise a deal with no intention of honoring it or with the plan to push customers toward a different product or price. Canadian law explicitly prohibits deceptive marketing practices such as bait-and-switch offers and false sale claims​, and Mobilecoupon.ca holds its vendors to those legal standards. Vendors should also avoid false urgency or false limited-quantity claims; any statements like “limited time offer” or “only X left in stock” must be accurate if used. All fees, surcharges, or extra conditions relevant to the deal must be disclosed up front to customers. In short, promotions must be fair and transparent: consumers should receive exactly what is promised in the coupon without surprise conditions or hidden costs. By adhering to truth-in-advertising laws and guidelines, vendors build trust with customers and protect the integrity of Mobile Coupon’s marketplace​.

 

CONFIDENTIALITY & DATA PRIVACY

Confidentiality and Protection of Information. Mobile Coupon is committed to protecting its own confidential information and the confidential information of its business partners, Vendors, customers, employees, and candidates for employment. Mobile Coupon requires Vendors to comply with all applicable laws and regulations governing confidential and proprietary information and to take all necessary measures to safeguard all such information that they receive from Mobile Coupon and/or about Mobile Coupon’s business partners, Vendors, customers, employees, and candidates for employment.

 

Data Protection and Privacy. Mobile Coupon respects everyone’s right to the protection of their personal data, as this term is defined in the countries in which Mobile Coupon operates, and everyone’s right to integrity in connection with the processing of personal data. Mobile Coupon requires Vendors to comply with all applicable privacy and information security laws and associated regulatory requirements, such as the General Data Protection Regulation (“GDPR”), as well as with Mobile Coupon’s information security and privacy policies and any specific measures set out in Mobile Coupon’s contracts with Vendors.  Vendors must create, retain, and dispose of business records in accordance with all applicable legal and regulatory requirements. Additionally, Vendors must comply with Mobile Coupon’s requests concerning personal data and/or business records and provide assistance to Mobile Coupon when requested in accordance with their contracts with Mobile Coupon.

 

CONFLICTS OF INTEREST

Vendors must avoid any actual or potential conflicts of interest caused by either business or personal relationships with Mobile Coupon customers, other Vendors, Mobile Coupon competitors or potential competitors, or Mobile Coupon employees.  Any actual or potential conflict of interest, and any connection to, or affiliation with, a Mobile Coupon employee or the employee’s family member, a member of their household, or someone with whom the employee has a significant personal relationship, must be disclosed to the Compliance Team at info@mobilecoupon.ca

 

FAIR BUSINESS, ADVERTISING, CONSUMER PROTECTION & COMPETITION LAWS

Vendors are expected to understand and comply with all applicable fair business, advertising, consumer protection and competition laws, including fair trading and antitrust laws.

Vendors must not exploit emergency situations, such as healthcare crises, natural disasters, or other catastrophes, by charging excessively high prices for products or services sold on Mobile Coupon or by making false claims regarding such products or services.

Vendors must also treat Mobile Coupon customers honestly, fairly, and appropriately, as well as in a manner that complies with all applicable civil and criminal laws and consumer practices. Customers have the right to be safe and secure at all times while interacting with Vendors, and Mobile Coupon expects that Vendors address legitimate customer concerns quickly and appropriately.

Deal and offer descriptions, as well as categorization information, must be accurate. Vendor listings should never lead a customer to believe something that is not true.  Vendors represent to Mobile Coupon that all product and service information in their listings is accurate and Vendors assume responsibility for updating these descriptions to ensure the included information is accurate.  

Vendors offering products or services for sale on any of Mobile Coupon’s channels must: (a) accurately describe the products or services being sold; (b) only advertise products or services that are available, in stock and which merchants are capable of fulfilling; (c) abide by all shipping representations and timeframes; (d) ensure that the products and services are of reasonable quality, and free from defects in workmanship, materials and design; (e) ensure that their products are genuine and bona fide; and (f) ensure that their products and services otherwise comply with all applicable laws. If any of the above criteria cannot be met, Mobile Coupon may, at its discretion, remove the deal or offering from the Mobile Coupon platform or modify the deal or offering as appropriate.  Vendors must promptly respond to all customer complaints, inquiries, and refund or replacement requests directed to their attention.

Any attempt to misrepresent deals or offer descriptions or categorization information, or to manipulate customer reviews - including by directly or indirectly contributing false, misleading or inauthentic content - is strictly prohibited on Mobile Coupon. Such misconduct may also violate various countries’ laws, such as the Federal Trade Commission Act or the EU Unfair Commercial Practices Directive, and can lead to legal action and civil and criminal penalties.

Vendors offering products or services on Mobile Coupon’s channels further represent and warrant to Mobile Coupon that any vendor-provided reference price for the vendor’s goods or services is the actual, regular value of the listed goods or services and is an accurate representation of the price at which the Vendor, or a comparable seller, has offered the good or service, or a comparable good or service to the public on a regular basis for a reasonably substantial period of time preceding the vendor’s offer on Mobile Coupon.  Vendors may not inflate or increase reference prices, or otherwise manipulate pricing or values in any way that is unfair, deceptive, misleading, and/or outside the ordinary course of business.  Vendors bear full responsibility for ensuring that their reference prices remain current and are updated whenever necessary.

LABOR & HUMAN RIGHTS

Armed Conflicts. Vendors must take reasonable steps to ensure the materials used in the products and services they offer to Mobile Coupon or to Mobile Coupon customers do not originate from sources that directly or indirectly benefit armed groups or criminal syndicates that perpetrate human rights abuses.  Notable examples include, without limitation, Blood Diamonds regulated by the Kimberley Process and the various Conflict Minerals (e.g., tin, tungsten, tantalum, and gold) monitored by the Canadian Securities and Exchange Commission.

 

Child Labor. Mobile Coupon strictly prohibits the use of child labor.  In conducting business with or on behalf of Mobile Coupon, Vendors must never employ a person younger than age 15 or otherwise interfere with a child’s education by employing a child in violation of a country’s compulsory education laws.   Additionally, Vendors must never knowingly source or import products for Mobile Coupon or for Mobile Coupon customers from third parties known to employ child labor.  All Vendors are responsible for monitoring their global supply chains to ensure compliance with applicable child labor laws.

 

Coerced Labor and Human Trafficking. Vendors must never engage in any form of coerced labor, such as slave labor, prison labor, indentured labor, bonded labor, and any other form of involuntary servitude, in conducting business with or on behalf of Mobile Coupon. Vendors must never traffic or otherwise exploit employees by means of threat, force, coercion, abduction, or fraud.  Additionally, Vendors must never knowingly source or import products for Mobile Coupon or for Mobile Coupon customers from third parties known to employ coerced labor or engage in human trafficking or sex trafficking.  All Vendors are responsible for monitoring their global supply chains to ensure compliance with applicable coerced labor and human trafficking laws.

Mobile Coupon believes that diversity and inclusion is a social and economic imperative and looks to its Vendors to share this commitment in their operations and business partnerships. Mobile Coupon encourages collaboration and inclusiveness, including with respect to its employees, customers, and Vendors, because the best solutions are often those that draw on diverse ideas and perspectives. To that end, Mobile Coupon seeks to engage with Vendors who perform at high levels and add a diverse perspective, including Vendors that are diverse in terms of their ownership structure (e.g., women-owned, locally-owned), scale (e.g., small or medium-size), and the nature of the enterprise (e.g., social enterprise). We expect Vendors to identify, adopt, and integrate diversity and inclusion and equal opportunity practices into their own business processes and to compete on a fair and equal basis for business.

Harassment and Abuse. Vendors must treat their employees who conduct business with or on behalf of Mobile Coupon, as well as Mobile Coupon customers and employees, with respect and dignity and may not subject them to any physical, sexual, psychological, or verbal harassment or abuse.

 

Health and Safety. Vendors must provide a safe and healthy work environment to prevent accidents or injuries arising out of, linked with, or occurring in the course of conducting business for Mobile Coupon or as a result of the operation of Vendor’s facilities, where work is being conducted for or on behalf of Mobile Coupon.  Vendors shall provide their employees who conduct business for or on behalf of Mobile Coupon with the tools, equipment, and materials necessary to conduct their work safely, and shall not require their employees to compensate the Vendor for the same, unless otherwise allowed by applicable law.  

 

Sexual Harassment and Misconduct. Vendors must not engage in sexual harassment or sexual misconduct of any kind with respect to their employees who conduct business with or on behalf of Mobile Coupon or Mobile Coupon customers. Sexual harassment includes unwelcome sexual advances, requests for sexual favors, and other verbal or physical harassment of a sexual nature. Sexual misconduct encompasses sexual and gender-based harassment, as well as other conduct such as sexual assault.  The term sexual assault refers to sexual contact or behavior, often physical, that occurs without the consent of the victim.  Individuals who are sleeping, under the influence of drugs or alcohol, cognitively impaired, under the care or control of a Vendor such as during a procedure or treatment, or otherwise incapacitated are not able to provide consent.

 

Wage and Benefits. Vendors must pay their employees who conduct business for or on behalf of Mobile Coupon in a timely manner and provide compensation (including overtime pay and benefits) that satisfies applicable laws. Under no circumstances may Vendors delay or withhold wages as disciplinary measures, as compensation for securing employment, or for any other purpose that is not authorized by applicable law.  

 

Work Authorization. Vendors may not knowingly employ persons who are not authorized to work, as determined by applicable law, in conducting business with Mobile Coupon or on Mobile Coupon’s behalf.  If Vendors engage foreign or migrant persons to conduct business with or on behalf of Mobile Coupon, Vendors must comply with the immigration and labor laws of the country where such persons are employed. Vendors must not require their employees to surrender government-issued identification, passports, or work permits as a condition of employment, and may only hold such documents temporarily for the purpose of completing legitimate administrative and immigration processing.  

 

REGULATORY AUTHORITIES  & LAW ENFORCEMENT

Vendors must reasonably cooperate with regulatory authorities and law enforcement, including with respect to inquiries, audits, reviews, or investigations related to the business being conducted with Mobile Coupon or on Mobile Coupon’s behalf. Vendors must inform Mobile Coupon of any such inquiries  prior to responding to regulatory authorities or law enforcement, unless doing so would violate applicable law. In addition, Vendors must inform Mobile Coupon when a police report or formal complaint has been filed or raised regarding a Vendor’s action or inaction, the conduct of other customers, or the conduct of any of the Vendor’s employees, agents, subcontractors, or affiliates by either a Mobile Coupon customer or by a non-Mobile Coupon customer if a Mobile Coupon customer could be affected.

Vendors are also expected to cooperate with any internal investigation conducted by Mobile Coupon into a complaint or concern raised regarding a Vendor’s conduct.
